What a UK LTD Gives You That a
Local Registration Cannot

If you are running an Amazon store from Karachi, invoicing UK clients from Lahore, or freelancing in IT from Islamabad - the biggest barrier to international growth is credibility. Stripe, PayPal, and Amazon all treat a UK-registered company differently from a local sole trader. So do international clients when they are deciding who to hire.

Stripe, PayPal and UK Payment Processors

Accepted globally because of your UK-registered entity. No more payment holds or rejected merchant accounts that Pakistani sole traders routinely face on international platforms.

Amazon Seller Central Under a UK Entity

Higher trust tier and fewer account holds for international sellers. Amazon treats UK-registered companies differently from Pakistani registrations - fewer verifications, faster approvals.

A UK Business Bank Account via Wise or Tide

Opened entirely online - no UK residency required. Hold and send GBP, USD, EUR and 20+ currencies. Receive international client payments without conversion loss.

Professional UK Invoicing

International clients pay faster when they receive a UK-registered invoice. Payment terms that stretched to 60 days routinely drop to 30 days once you invoice as a UK entity.

Limited Liability Protection

Your personal assets in Pakistan remain separate from company debts. A UK LTD creates a legal boundary between your business obligations and your personal finances.

A Publicly Searchable Companies House Number

The global standard for B2B credibility. International clients and procurement teams verify Companies House numbers before signing contracts. Your number appears within minutes of approval.

The Step-by-Step Remote
UK Company Formation Process

Every step here is handled online. Nothing requires you to be physically present in the UK - not the formation, not the identity verification, not the banking. Here is exactly what happens from the moment you reach out to the moment your company is live.

2026 ECCTA Compliance Updates
for Pakistani Directors

The Economic Crime and Corporate Transparency Act 2023 (ECCTA) is the most significant reform to UK company registration law in a generation. Key provisions came into force in late 2025, with enforcement escalating through 2026. Most generic UK agents are not set up to handle Pakistani-specific verification requirements.

18 November 2025 - Active Now

Mandatory ID Verification for All New Directors

Identity verification is now mandatory for all new directors and PSCs at the point of incorporation. No grace period. No exceptions. A company cannot be incorporated if any proposed director has not been verified. A director cannot legally act in their role without completing verification.

12-Month Transition - Until Autumn 2026

Existing Directors Must Verify at Next Confirmation

Directors on the register before 18 November 2025 must verify at their next Confirmation Statement filing, no later than autumn 2026. Failure to verify creates a compliance flag on the Companies House public register.

1 February 2026 - Active Now

Incorporation Fee Raised to £100

The digital incorporation fee increased from £50 to £100. The Confirmation Statement fee increased from £34 to £50. Any agent still quoting £50 for incorporation is showing outdated pricing. Both fees are included transparently in our packages.

No Earlier than November 2026 - Delayed

Mandatory ACSP Agent Registration - Deadline Pushed Back

Originally Spring 2026, mandatory ACSP registration for third-party filing agents has been pushed to no earlier than November 2026. This creates a specific risk - some generic UK agents still cannot carry out identity verification on your behalf.

Under Review - April 2027 Date Paused

Mandatory Software Filing and Removal of Abridged Accounts

The April 2027 original date for mandatory software filing of accounts and removal of abridged micro-entity accounts has been paused and placed under review. We will notify all clients of any changes that affect their filing obligations.

Our Position - Fully Registered

We Are a Registered ACSP

We are registered as an Authorised Corporate Service Provider. We handle ECCTA identity verification for Pakistani directors from start to finish - including biometric passport submission and CNIC documentation. You do not interact with the GOV.UK One Login system.

Compliance Consequence for Pakistani Directors

The delay to mandatory ACSP agent registration creates a specific risk. Some generic UK agents still cannot carry out identity verification on your behalf. If your agent is not ACSP-registered, you must complete verification through the GOV.UK One Login app - which requires a biometric passport and does not easily accommodate CNIC-only identification. Starting through a verified ACSP removes this risk from day one.

Compliance consequence: A director who acts in their role without completing identity verification commits an offence under the Companies Act 2006. The company is flagged publicly on the Companies House register. Starting through a verified ACSP removes this risk from day one.

Business Banking for Pakistani Directors:
Wise and Tide

Traditional UK high street banks - Barclays, Lloyds, NatWest - require at least one company director to hold a permanent UK residential address. That rules them out for almost every Pakistani director. The practical and widely-used alternatives are Wise Business and Tide - both accept non-resident directors and open entirely online.

Multi-Currency

Wise Business

GBP, USD, EUR and 20+ currencies - one-time £50 setup, no monthly fee

Wise Business accepts UK-registered companies with non-resident directors. The key matching requirement is that the UK registered office address on your Companies House record must match the address linked to your Wise company profile. After your company is incorporated and your UTR letter has been received, Wise accepts your incorporation certificate, biometric passport, and director details.

One-time £50 setup fee
No monthly fee
From 0.33% conversion
GBP, USD, EUR + 20 more
No UK residency needed
Critical matching requirement: The UK registered office address on your Companies House record must exactly match the address entered in your Wise company profile. Mismatches cause account rejection - we walk clients through this step specifically.
App-Based

Tide Business

Fully app-based verification - no branch visit, no UK presence required

Tide explicitly accepts applications from non-UK residents who are directors of UK-registered companies. Verification is completed via the Tide app using a valid photo ID - no branch visit, no UK presence required. Tide's address matching works the same way as Wise: the registered office address on Companies House must match what you enter in the Tide application.

App-based verification
Non-UK residents accepted
No branch visit needed
UK sort code + account
Debit card included
Most common Tide rejection reason for Pakistani directors: Address mismatch between Companies House records and the Tide application. We walk clients through this step specifically because it is the most avoidable rejection cause.

What Banks Need That Generic Agents Often Do Not Mention

Have all of these ready before applying - missing any one item delays or stops your banking application.

Certificate of Incorporation
Companies House registration number and digital certificate issued on approval
Company UTR Number
From the HMRC letter posted to your registered office - apply for banking only after receiving this
Matching Director Service Address
Must match Companies House records exactly - not a PO box, not a personal address in Pakistan
Valid Biometric Passport
Same document used for ECCTA verification - chip-enabled biometric passport required
Proof of Pakistani Residential Address
Utility bill or bank statement dated within 3 months - from Karachi, Lahore, or Islamabad
Correct Timing
Apply only after receiving your UTR letter - not the day your company is registered

NRP Formation Checklist -
Karachi, Lahore and Islamabad

Run through this before you start. Every item here is something that delays or stops a Pakistani director's formation if it is missing or out of order. Click each item to mark it complete.

  • Valid Biometric Passport - chip-enabled
Look for the biometric symbol on the front cover. Non-biometric passports fail the GOV.UK One Login automated system.
  • CNIC in Updated Format - not expired, not damaged
Computerised National Identity Card. Expired or outdated formats are the second most common verification failure.
  • Proof of Residential Address in Pakistan - dated within 3 months
Utility bill or bank statement in your name from Karachi, Lahore, or Islamabad.
  • Active Email Address for all Companies House and HMRC correspondence
All statutory correspondence, your incorporation certificate, and UTR forwarding arrives here.
  • Company Name Confirmed Available and not too similar to an existing registration
We check this against the Companies House register before submitting anything.
  • SIC Code Confirmed for your business type
47910 for Amazon/eBay sellers - 62020 for IT freelancers - 70229 for management consultants. Wrong codes trigger HMRC queries.
  • UK Registered Office Address Confirmed - real street address, not a PO box
PO boxes are rejected by Companies House. Our London address is included in all packages.
  • Director Service Address Arranged - keeps your Pakistani home address off the public register
Without this, your personal home address in Pakistan is publicly searchable by anyone worldwide.
  • Share Structure Agreed - who holds what percentage from day one
Changing share structure after incorporation requires additional filings. Decide before submission.
  • Await UTR Letter at your UK registered office
Typically 2-6 weeks post-incorporation. We scan and email within one working day of receipt.
  • Register for Corporation Tax within 3 months of starting business activities
This includes selling, advertising, or receiving payment - not just formal trading. Do not miss this deadline.
  • Open Wise or Tide Business Account - only after receiving your UTR letter
Applying before your UTR is the most common cause of banking rejection. Wait for confirmation first.
  • Set Calendar Reminder for your Confirmation Statement due date
Late filing draws Companies House attention. Repeated failure leads to compulsory dissolution. £50 fee from Feb 2026.
  • Set Calendar Reminders for annual address renewals
Lapsed addresses put your Pakistani home address back on the Companies House public register automatically.
  • Note Your First Accounting Period End Date
Corporation Tax accounts due 9 months after that date. Annual accounts due at Companies House 9 months after period end.

Karachi - Amazon FBA Seller

Ahmed

Private-Label Amazon FBA

The Challenge

Pakistani registration caused PayPal to hold funds and Amazon to flag his account. UK clients wanted a UK entity on purchase orders.

PayPal hold released
Amazon accepted
Wise GBP account open

Ahmed ran a private-label Amazon FBA business from Karachi. His Pakistani business registration caused PayPal to hold funds and Amazon to flag his account. UK clients wanted to see a UK entity on purchase orders before they would proceed.

We registered a UK LTD in his name with a London registered office and director service address. His CNIC and biometric passport were verified through our ACSP process. Company live on Companies House within 48 hours. Wise Business account opened within one week of receiving his UTR.

Amazon accepted the UK entity immediately. PayPal hold released. He now invoices UK distribution partners from a UK company, holds GBP in a Wise account for supplier payments, and files one Corporation Tax return annually. His home address in Karachi does not appear anywhere on the public register.

Sana

Senior UI/UX Designer

The Challenge

Two European SaaS clients declined contracts because she could not sign as a registered UK or EU business entity. Payment delays ran to 45-60 days.

2 contracts signed
60 to 30 day terms
Privacy protected

Sana worked as a senior UI/UX designer from Lahore billing European SaaS companies. Two clients had declined contracts because she could not sign as a registered UK or EU business entity. Invoicing from a personal account caused payment delays of 45-60 days.

We formed a UK LTD under SIC 62020 (IT and software). Director Service Address kept her Lahore home address off the public register entirely. She opened a Wise Business GBP account to receive client retainer payments directly in sterling.

Both clients signed contracts within a month of her UK LTD going live. Invoice payment terms dropped from 60 days to 30 days. Annual Corporation Tax filed by a UK accountant through our partner referral network. Her personal details remain entirely private.

Bilal

UK Public Sector Consultant

The Challenge

A government tender required bidders to be incorporated in the UK or EU. He had five days to submit or lose the opportunity entirely.

Same-day filing
Contract secured

Bilal was a management consultant in Islamabad advising UK public sector clients. A government tender required bidders to be incorporated in the UK or EU. He had five days to submit or lose the opportunity.

We completed an expedited formation with ACSP identity verification and a same-day Companies House filing. Company confirmed in hours. Registration certificate delivered before the tender deadline.

Bilal submitted the tender as a UK company and won the contract. The UK LTD is now his primary entity for all international consulting work. Annual compliance - Confirmation Statement, address renewals, accounts reminder - is handled through our ongoing maintenance service.

Your Story Starts the Same Way

Whether you are selling on Amazon from Karachi, freelancing from Lahore, or bidding on UK contracts from Islamabad - the process is the same. Remote, fast, and fully ECCTA compliant.

Ongoing Compliance and Annual Filings

Registering the company is step one. Keeping it compliant protects it. A UK LTD has annual obligations that continue for as long as it is active. Missing these creates financial penalties and - in the case of the Confirmation Statement - eventual automatic dissolution by Companies House.

Filing / Obligation Deadline Typical Cost
Confirmation Statement Annual (varies by company) £50 from Feb 2026
Corporation Tax Return (CT600) Within 12 months of year-end Accountant fee applies
Annual Accounts 9 months after year-end Accountant fee applies
Registered Office Renewal Annual £22-£39 + VAT
Director Service Address Renewal Annual ~£26
ACSP ID Verification Per ECCTA requirements Included in our packages Included

What Each Obligation Actually Involves

Miss = Dissolution

Confirmation Statement

Every UK company must file a Confirmation Statement once per year. From 1 February 2026, this costs £50. The statement confirms that the information Companies House holds - directors, shareholders, registered address, SIC code - is correct. It does not report financial results. Missing this filing triggers a compliance flag. Repeated failure leads to compulsory dissolution.

Annual - £50 from Feb 2026 - included in our maintenance service
HMRC Filing

Corporation Tax Return (CT600)

Your company must file a CT600 Corporation Tax return with HMRC within 12 months of each accounting period end. Corporation Tax payment is due 9 months after the period end. If your company earns no UK-taxable income - for example, if all revenue comes from overseas clients - your Corporation Tax liability may be nil. But the filing obligation still applies. A zero-return is still a required return.

CT600 due 12 months after year-end - payment due 9 months after
Annual Filing

Annual Accounts

Annual accounts must be filed with Companies House within 9 months of the accounting period end. Micro-entity accounts are the simplest format for small companies and include minimal financial disclosure. Currently micro-entities can file abbreviated accounts, but Companies House has flagged that changes to this are under review. We will notify all clients of any changes that affect their filing format or obligations.

Due 9 months after accounting period end at Companies House
Privacy Critical

Address Renewals

Your registered office address and director service address must be renewed annually. If either service lapses, your registered office becomes invalid - HMRC and Companies House cannot deliver correspondence legally, triggering compliance issues. A lapsed director service address means your Pakistani home address reverts to the Companies House public register automatically. We send renewal reminders 30 days in advance.

30-day renewal reminder sent - £48-£65 + VAT combined annual cost

Frequently Asked Questions from
Pakistani Founders

Every question below comes directly from Pakistani directors in Karachi, Lahore, and Islamabad going through the UK LTD formation process. Still have a question not covered here? WhatsApp us directly.

No. The entire process is 100% remote. Pakistani nationals can register a UK Limited Company without visiting the UK. There is no visa requirement, no UK residency requirement, and no nationality restriction under UK company law. Identity verification under ECCTA is handled through our ACSP registration - you do not travel to the UK for this.

The registered office address renewal is typically £22-£39 + VAT per year depending on the provider. The director service address - which keeps your Pakistani home address off the Companies House public register - renews at approximately £26 per year. Statutory mail scanning and email forwarding is included at no extra charge. Physical international mail forwarding to Pakistan incurs postage plus a handling fee. Total annual address renewal is typically £48-£65 + VAT.

Since 18 November 2025, identity verification is mandatory for all new UK company directors at incorporation. Pakistani directors must verify through the Companies House GOV.UK One Login app - which requires a biometric passport - or through a registered ACSP. Non-biometric passports fail the automated system. We are registered as an ACSP and handle this verification end-to-end for Pakistani directors, including CNIC and biometric passport documentation.

Technically yes, but it is not recommended. Without a Director Service Address, your personal home address in Pakistan appears on the publicly searchable Companies House register - accessible to anyone worldwide. A Director Service Address replaces your personal address with a UK address on the public record, while your actual address is kept private on file. This service is included in our NRP Compliance and E-Commerce Pro packages, renewing at approximately ~£26 per year.

Digital incorporation applications are typically approved within 24-48 hours. Same-day processing is available for an additional £156 Companies House government fee - useful for tender deadlines or urgent contract requirements. Paper applications, which we do not recommend, take 5-10 working days.

Yes. A UK LTD requires a minimum of one director and one shareholder - both roles can be held by the same person. As a Pakistani national, you can be the sole director, the sole shareholder, and the company secretary simultaneously. There is no UK residency or nationality requirement for any of these roles.

HMRC issues your company UTR automatically after Companies House approves incorporation. The UTR arrives by post to your registered office - typically within 2-6 weeks of incorporation, though overseas postal routing can extend this. Because the letter goes to your UK registered office, your agent's mail scanning and forwarding service determines how quickly you actually receive it. We scan and email all statutory mail within one working day of receipt at the registered office.

No. Both Wise Business and Tide accept UK company applications from non-resident directors without a physical UK visit. Verification is completed online or via app. You need your incorporation certificate, your UTR (received after incorporation), a valid biometric passport, and proof of your residential address in Pakistan. Apply for your banking account only after receiving your UTR letter - applying before this causes avoidable delays and is the most common rejection reason for Pakistani directors.
